Association

The regional community is called “Touristisches Regionalgemeinschaft NEISSELAND eV”. It is a registered association and is based in Görlitz. The association's task is to promote tourism in the spirit of healthy economic, national cultural and environmentally friendly development. The work of the regional community is aimed at coordinating the activities of its members and, in cooperation with higher-level authorities and associations with similar objectives, developing tourism and promoting local awareness. This should be achieved in particular by:

  1. the implementation of tourism advertising, public relations

  2. Tourism marketing for the area including program arrangements, advertising and national presentations in coordination with local service providers, publication of uniform documentation.

  3. the commitment to the revival, preservation and maintenance of traditions and cultural customs.

  4. the organization of the exchange of information and experiences, representation of interests towards authorities, active employees in the regional and state tourism association as well as the development of partnership connections with relevant marketing companies.

  5. Development of a mission statement for the catchment area of ​​the regional community.

§1 NAME AND SEAT

The regional community is called “Touristisches Regionalgemeinschaft NEISSELAND eV”. It is a registered association and is based in Görlitz.

§2 PURPOSE OF THE ACTIVITY

The association's bodies work on a voluntary basis. Funds of the regional community may only be used for statutory purposes. The association may not benefit natural or legal persons through expenses that are alien to the purposes of the regional community "NEISSELAND eV" or through disproportionately high remuneration. The members do not receive any donations from the regional community's funds. Resigned or excluded members have no claim to club assets.

The association is politically and religiously neutral.

The association can form divisions to fulfill its tasks.

The "Touristik Areagemeinschaft NEISSELAND eV" recognizes the organizational, financial, professional and interdisciplinary independence of its members and promotes their comradely cooperation.

§3 TASKS OF THE AREA COMMUNITY

The "Touristik Areagemeinschaft NEISSELAND eV" has the task of promoting tourism in the sense of healthy economic, regional cultural and environmentally friendly development.

The work of the regional community is aimed at coordinating the activities of its members and, in cooperation with higher-level authorities and associations with similar objectives, developing tourism and promoting local awareness. This should be achieved in particular by:

3. The task of the regional community is to promote, preserve and sustainably develop the natural resources, regional development and cultural identity, which serve to secure the future of the region and create essential conditions for successful tourism development:

Preservation and creation of intergenerational, family-friendly working and living conditions in rural areas and promotion of mobility

Preservation of natural and cultural landscapes as well as promotion of landscape and nature conservation

Promote education and consumer information

Promoting cultural heritage

Promoting civic engagement

Promoting inclusion and equality between men and women in accordance with gender mainstreaming

This is to be achieved in particular by setting up a specialist department for integrated rural regional development. This is the sponsor of the local working group (LAG) LEADER Eastern Upper Lusatia. The tasks, forms of work and organization of the LAG are regulated in their own rules of procedure.

§4 MEMBERSHIP

The membership area of ​​the membership organization corresponds to the Upper Lusatia/Lower Silesia region. Exceptions must be decided by the board upon request.

Ordinary members

Local authorities (district, cities and municipalities)

Natural persons, associations, companies and companies who are committed to the association's tasks and actively support their implementation. (who are interested in promoting tourism)

Honorary members can be appointed by the general meeting if they have rendered special services to promote the association's goals.

In addition to regular membership, supporting membership is possible. Supporting members are natural and legal persons who promote the association's tasks both intellectually and materially. Supporting members are invited to the general meeting but have no voting rights.

§5 ACQUISITION OF MEMBERSHIP

The admission of full and supporting members takes place upon written application by the board.

Honorary membership can be awarded by the general meeting after voting with a simple majority.

§6 TERMINATION OF MEMBERSHIP

Membership in the “Tourist Area Community NEISSELAND eV” expires through:

Exit that can be explained. The declaration of resignation must be made in writing to the board. Withdrawal is possible subject to a notice period of six months at the end of the financial year.

Dissolution of the “Tourist Regional Association NEISSELAND eV”

Exclusion by the board after prior hearing due to:

5. Upon termination of membership, all rights and obligations arising from membership in the association expire. However, the member remains obliged to pay the contribution until the end of the statutory notice period for all other charges incurred by the association during membership.

§7 RIGHTS AND OBLIGATIONS OF THE MEMBERS

The rights of members:

The members are called upon to promote the association's work through suggestions and suggestions.

Obligations of members:

The members are obliged to comply with the provisions of the statutes, to support the board in its activities and to provide the regional community with necessary information.

The members are obliged to pay the contributions set out in the contribution regulations on time and to comply with the other provisions of the contribution regulations.

The members are obliged to coordinate with the association and/or inform it on all cross-regional issues in accordance with §3. This particularly applies to marketing measures.

§7A SPECIAL LAW OF THE COUNTY

The district receives an increased voting right of five votes for the general meeting, according to special law i. S.d. §35 BGB.

The district provides one member of the board.

§8 CONTRIBUTION REGULATIONS

The payment of contributions is regulated by a contribution regulation. It is decided and changed by the general meeting. If such a resolution is to be passed, this must be stated as an agenda item in the invitation letter.

The fee regulations regulate the amount of membership fees, payment deadlines and payment modalities.

§10 MEMBERSHIP MEETING

The general meeting is called by the chairman at least once a year. The invitations and the agenda must be sent to the members in writing at least four weeks in advance.

An extraordinary general meeting must be called within three weeks.

Applications for this must be submitted to the chairman in writing, stating the items to be discussed.

3. The general meeting, which is convened in writing and states the agenda, has a quorum regardless of the number of those present.

4. Applications to the agenda and additions to it can be submitted to the board in writing and with reasons up to two weeks before the general meeting by members.

5. Every full member has one vote. Supporting members and honorary members have an advisory vote. Special provisions remain quorate.

6. When voting, the majority of votes decide, except in the cases specified in paragraphs 16 and 17. In the event of a tie, the application is considered rejected.

7. The general meeting is chaired by the chairman or his deputy.

8. The agenda for the ordinary general meeting must contain the following items:

2. Annual financial statements, audit report, discharge of the board of directors

3. Decision on the new budget

4. New elections to the extent required by the statutes

5. Decision on applications

6. Place and time of the next general meeting

9. Minutes must be made of the proceedings at the general meeting, which must be signed by the chairman and the deputy and sent to the members.

§11 BOARD OF DIRECTORS

The board is elected by the general meeting in a secret ballot for a period of three years. Whoever gets the most votes is elected. In the event of a tie, a runoff election will take place. Re-election is possible. The chairman and his deputy are legal representatives of the association. Everyone has sole power of representation.

The board is responsible for passing resolutions and decisions on all important matters in the period between the general meetings, in particular on:

all submissions to the general meeting including the annual budget

confirmation of the annual statement

Preparation of the annual work plan

The chairman leads the association's business, meetings and negotiations within the framework of the statutes.

Board meetings take place when necessary.

The board has a quorum when at least 2/3 of its members are present. Decisions are made with a simple majority of votes. Minutes must be taken of the board's negotiations and signed by the chairman or his deputy.

§12 WORKING GROUPS

In accordance with §9, working groups can be formed by the board for individual areas of responsibility of the regional community as required.

The working groups prepare the work of the board and the general meeting.

§13 AUDITOR

The general meeting elects two auditors from among the members.

The auditors check the regional community's accounts on behalf of the general meeting.

The auditors report the results of the audit to the general meeting.

§14 BUSINESS MANAGEMENT

The board can appoint a managing director.

The board of directors issues rules of procedure to regulate the association's internal business transactions and to implement the statutes.

The board can delegate certain powers to the managing director.

The rules of procedure must be made known to the members of the association.

§15 FINANCIAL YEAR

The association's fiscal year is the calendar year

§16 CHANGES TO THE STATUTES

Changes to the statutes require a majority of at least 2/3 of the members present at the general meeting

If a change to the statutes is to be made, this must be stated as an agenda item in the invitation.

§17 DISSOLUTION OF THE ASSOCIATION

The dissolution of the regional community can only take place at a general meeting specially called for this purpose with a majority of 2/3 of the members present and 2/3 of the members attending this general meeting. In the event of a quorum, a new general meeting must be called within four weeks in accordance with the regulations with the same agenda. This general meeting resolves the dissolution by a simple majority, regardless of the number of members present.

If the association is dissolved, the association's assets will be transferred to the district for the purpose of promoting tourism.

§18 ENTRY INTO EFFECT OF THE STATUTES

The statutes come into force upon the proper conclusion of the founding meeting.

The activity of the regional community begins on the day on which the board is elected by the general meeting.

The above statutes were passed by the general meeting on June 11, 2002, amended on January 18, 2005, on June 12, 2012 and on November 25, 2014.
